Juniper requires all orders be placed in writing.
All prices are MAP quoted as MSRP (Manufacturer Suggested Retail Price). Appropriate trade discounts are applicable off the MSRP. All quoted prices are F.O.B. our factory in the USA unless otherwise noted. Prices are subject to change without notice at any time prior to the written confirmation of the order.
All sales, use, excise, and other taxes applicable to the sale of the products shall be paid by the purchaser. If exemption is claimed, the purchaser must submit the appropriate exemption certification prior to final payment.
Prices stated in the written quotations or order confirmations issued by Juniper have a 60-day validity unless otherwise noted on the quotation and are subject to change or withdrawal by written notice at any time during that period.
Terms of Payment
Unless otherwise specified on the order confirmation, the terms of payment are as follows:
-Juniper requires full payment (including freight charges) prior to delivery.
-Any unpaid balance following the full delivery will be subject to a charge of 1.5% per month or 18% annually.
-For all custom orders, a 50% non-refundable deposit is required with the purchase order.
-For orders in excess of $10,000 may require a 50% deposit prior to production.
-A 2% fee is applied to credit card payments in excess of $10,000.
All orders are confirmed by a Juniper order confirmation (Sales Order). Juniper delivers and invoices orders based on the information on the order confirmation. The order confirmation is intended as a complete, exclusive and final statement of the terms and conditions of agreement between Juniper and the purchaser with respect to the purchase and sale of the goods on order. An invoice delivered electronically may also serves as an order confirmation.
Delivery Schedule Delays
Products are delivered in accordance with the standard delivery schedules and in accordance with the estimated lead-time indicated on the Juniper Order Confirmation.
Delivery schedules and estimated lead times are subject to change at any time due to unforeseen fluctuations in inventory levels and manufacturing loads, shortage of labor materials, and due to any other cause beyond its reasonable control, without any liability on Juniper’s part for delays.
For custom orders or for orders in excess of $10,000, production will begin only after signed product specification and receipt of deposit.
Shipment and Shipping Charges
All Juniper products are shipped F.O.B. our factory in the USA. Juniper selects the most suitable and competitive carrier, unless otherwise requested by the purchaser with specific written instructions. Residential, construction site and inside deliveries are subject to additional charges. In certain cases, 15% of the freight cost is added for handling.
Certain bulk shipments, custom products, or special request deliveries may be subject to additional packaging, crating and handling charges. Juniper will make all efforts to provide an accurate estimate of all shipping charges prior to submitting an order confirmation, but Juniper reserves the right to alter shipping related costs on the invoice either due to an alteration of the order by the purchaser or due to unforeseen changes in packaging and handling requirements relating to custom or contract orders.
A signature is required by recipient for parcel shipments in excess of $2500. Juniper is not responsible for goods returned in the case where a signatory was not available.
For international shipments, purchaser is responsible for all taxes and duties levied at the port of entry.
In the event the purchaser requests postponement of delivery beyond the scheduled shipping date and the goods are in production, Juniper may transfer the goods, when ready for shipment, to storage at the purchaser’s risk and expense. Such a transfer to storage shall be deemed delivery to the purchaser for all purposes including invoicing and payment.
All merchandise is packed to comply with carrier requirements. It is the purchaser’s responsibility to examine goods upon receipt and to file any claims with the carrier. A signature on the BOL upon receipt of the products confirms that the products are received in good condition. If product is refused upon delivery for damage or quality issues, contact Juniper immediately. The purchaser is encouraged to take photos of any damage to the packaging, as this is necessary to resolve damage claims.
Any claims against Juniper for defects, errors or shortages must be made by the purchaser, in writing, within 10 days after any delivery. Failure by the purchaser to make any claim against Juniper within 10 days will constitute acceptance of goods and waiver any defects, errors or shortages.
Repairs, Returns, or Exchanges
No return of goods will be accepted without written consent and shipping instructions from Juniper. This also applies to returns of non-defective merchandise. Return of non-defective goods, when approved, must be made within 30 days from the date of shipment, may be subjected to a 15% restocking charge, and must be in new, resalable condition in the original packaging.
Special, made-to-order, custom finished or discontinued merchandise is not subject to return.
Return of defective goods must be freight prepaid at the purchaser’s expense and are regulated by the Juniper warranty policy and must follow Juniper return procedure.
Client must submit a Return Merchandise Authorization (RMA) form before returning, exchanging, or repairing any product.
If a product is in need of repair, client should send pictures of damages to email@example.com.
Juniper warrants its products to be free from defects in materials and workmanship for a period of one (1) year from date of delivery with the exception of LED products (electrical components only) which will be warranted for three (3) years from the date of delivery. During this warranty period, Juniper will repair, or replace, at its option, free of charge, products that are proven defective. This warranty does not apply to damages resulting from accidents, alteration, tampering, misuse, negligence or abuse.
Juniper, if applicable, hereby expressly reserves the right to limit or exclude consequential damages under the terms of this warranty. No charge-back, charge for labor or materials is allowed that does not have Juniper’s prior written approval.
Prior to returning a defective product, the purchaser is required to fill a Return Merchandise Authorization (RMA) form provided electronically by Juniper. No products will be accepted for return without written approval by Juniper. Upon receiving the RMA, Juniper will provide the purchaser with written authorization and shipping instructions.
Juniper works with the testing laboratories recognized nationally by governmental agencies for their independent product testing and certification activities, on a continuing basis to adapt, design and manufacture luminaries in conformity with the National Electrical Code’s requirements.
Purchaser is solely responsible for compliance with all applicable federal, state, and local laws, ordinances, regulations, rules, and standards relating to the installation, maintenance and operation of the product.
Juniper’s photography, graphics, text and product designs are defined as Intellectual Property. The Intellectual Property may not be copied, reproduced, modified, published, displayed, uploaded, posted, reposted, distributed, transmitted, used to create a derivative work, or otherwise used for public or commercial purposes. This Intellectual Property is owned by Juniper, except as otherwise expressly stated herein, users are not granted any license to use, or right in, any such Intellectual Property.
Nothing in Juniper’s literature, pricelist or website shall be deemed to grant and license or right in, or to any patent, copyright, trademark, trade secret or other proprietary right of Juniper.
